Creator Agreement

1. Role of the Platform

1.1 Cherrypop provides a platform that enables Creators to offer content and services to Fans.

1.2 Cherrypop is not a party to transactions between Creators and Fans.

1.3 You act as an independent creator and are solely responsible for your content, services, and interactions with Fans.

2. Creator Status

2.1 You act as an independent contractor and not as an employee, agent, or representative of Cherrypop.

2.2 You are solely responsible for:

• your business activities;
• compliance with laws;
• payment of taxes, duties, and obligations arising from your earnings.

3. Content and Rights

3.1 You retain ownership of the content you upload.

3.2 By uploading content, you grant Cherrypop a worldwide, non-exclusive, royalty-free license to:

• host
• display
• distribute
• operate the Platform

3.3 You represent and warrant that:

• you own or have all necessary rights to your content;
• your content does not infringe third-party rights;
• your content complies with all applicable laws.

4. Content Compliance

4.1 You are solely responsible for ensuring that your content complies with:

• applicable laws and regulations;
• the Terms of Service;
• the Acceptable Use & Content Policy.

4.2 Where your content includes individuals, you must ensure that:

• all individuals are at least eighteen (18) years old;
• all individuals have provided explicit and informed consent.

4.3 Where applicable, you must maintain records of such consent.

4.4 The Platform may allow adult-oriented content; however, you must ensure that such content:

• is lawful;
• involves only consenting adults;
• does not include prohibited material.

5. Creator Services and Obligations

5.1 You are responsible for:

• accurately describing your services or content;
• fulfilling all Transactions with Fans;
• delivering content or services within a reasonable timeframe.

5.2 You must not:

• misrepresent your offerings;
• engage in fraudulent or deceptive practices;
• fail to deliver purchased content without valid reason.

6. Payments and Earnings

6.1 Cherrypop facilitates payments between Fans and Creators through third-party providers.

6.2 Cherrypop may:

• collect payments on your behalf;
• deduct applicable fees;
• process payouts to you.

6.3 Payouts:

• may be subject to delays, verification, or risk checks;
• may be withheld where necessary to manage fraud, disputes, or policy violations.

6.4 You acknowledge that:

• payment processing is handled by third parties;
• Cherrypop does not guarantee payment success or timing.

7. Fees

7.1 Cherrypop may charge platform fees for use of the Platform.

7.2 Applicable fees may be:

• deducted from Fan Payments; or
• applied to your earnings.

7.3 Fee structures may be updated at Cherrypop's discretion.

8. Refunds and Chargebacks

8.1 Transactions are generally non-refundable, subject to applicable law and platform policies.

8.2 In the event of chargebacks, payment disputes, or refunds, Cherrypop may:

• deduct amounts from your earnings;
• withhold payouts;
• adjust balances.

8.3 You are responsible for losses resulting from:

• fraudulent activity;
• failure to deliver services;
• violation of platform policies.

9. Account and Compliance

9.1 You may be required to:

• verify your identity (KYC) via third-party providers (e.g. Ondato);
• provide accurate and up-to-date information.

9.2 Failure to comply may result in:

• restricted access;
• delayed payouts;
• account suspension or termination.

10. Platform Rights

Cherrypop reserves the right, at its sole discretion, to:

• remove or restrict content;
• suspend or terminate your account;
• investigate violations;
• enforce platform policies.

11. Liability

11.1 You are solely responsible for:

• your content;
• your services;
• your interactions with Fans.

11.2 Cherrypop is not liable for:

• disputes between Users;
• failure of Fans to pay;
• technical issues or payment failures.

12. Indemnification

You agree to indemnify and hold harmless Cherrypop from any claims, damages, or liabilities arising from:

• your content;
• your use of the Platform;
• your violation of this Agreement or applicable law.

13. Termination

13.1 You may stop using the Platform at any time.

13.2 Cherrypop may suspend or terminate your account at any time, with or without notice, for any reason.

13.3 Upon termination:

• access to the Platform may be revoked;
• outstanding obligations may remain enforceable.

14. Changes to This Agreement

Cherrypop may update this Agreement at any time.

Continued use of the Platform constitutes acceptance of the updated Agreement.

15. Governing Law

This Agreement shall be governed by the laws of Estonia.
